SpendVue Terms and Conditions

Words and Corporate Names used herein shall have the same definitions as in the ERA Group Privacy Policy here unless otherwise defined herein.

SpendVue is a process tool powered by the ERA Group and its use is licensed to the ERA Network.

DEFINITIONS

Client Data to be provided through this portal shall include non-personally identifiable information in several categories including Financial Data and Commercial Data which may include:

Financial Data including but not limited to:

  • Revenue and expense data
  • Profit and loss statements
  • Balance sheet information
  • Cash flow statements
  • Sales and purchase data

Other financial metrics and reports such as:

  • Information related to the Client’s operational costs, including but not limited to: Expense reports
  • Purchase orders
  • Invoices
  • Payroll data (excluding employee names and personal information)
  • Utility bills
  • Lease agreements
  • Other cost-related documents and records

 

Commercial Data, for the purpose of this agreement, refers to non-personally identifiable

Information related to the Client’s business operations, including but not limited to:

  • Operational Data: Information on business processes, workflows, and resource utilization.
  • Market Data: Data on market trends, competitor analysis, and customer behavior.
  • Supply Chain Data: Information on suppliers, distributors, and logistics operations.
  • Contractual Data: Data on contracts, agreements, and service level agreements.

Anonymized data is data that has been processed to remove any personally identifiable information (PII). This means that the data can no longer be linked back to a specific individual. Anonymized data is often used in research, analytics, and other data-driven activities. It can be used to protect the privacy of individuals while still allowing for meaningful analysis.

[It is important to note that anonymized data is not[NM1]  always completely anonymous. In some cases, it may be possible to re-identify individuals based on the information that is still present in the data. However, anonymization can significantly reduce the risk of privacy breaches.]

Aggregated data is data that has been collected and combined from multiple sources to form a single, more comprehensive dataset. This process involves summarizing or grouping individual data points to reveal overall trends, patterns, or statistics.

Aggregation is often used to:

  • Identify trends and patterns: By looking at aggregated data, you can spot larger trends that might be hidden in individual data points.
  • Make comparisons: Comparing aggregated data from different sources can help you identify similarities and differences.
  • Improve decision-making: Aggregated data can provide valuable insights that can inform strategic decisions.

By combining and summarizing data, aggregation can help to simplify complex information and make it easier to understand and analyze.

Resultant Data refers to the new data or information that is derived or generated from the processing of original data. This processed data can take many forms, such as:

  • Derived metrics: New calculations or statistics generated from the original data, like average, median, or standard deviation.
  • Data visualizations: Graphical representations of the data, such as charts, graphs, or maps.
  • Machine learning models: Models trained on the original data to make predictions or classifications.
  • Data insights: Conclusions or discoveries drawn from analyzing the data.

Essentially, resultant data is the output or outcome of data analysis, processing, or modeling. It provides valuable insights and knowledge that can be used to inform decision-making, solve problems, or drive innovation.

ACKNOWLEDGMENT

ERA Group may aggregate the Client Data with data from other clients and sources to generate anonymized and aggregated insights. Such Aggregated data and Anonymized data and Resultant data will not identify the Client or any individual.

REPRESENTATIONS

1.         Client represents and warrants that all Client Data provided to ERA Group will consist of information in such categories as financial and commercial data necessary for the performance of the ERA Group services. Client Data will not include any Personally Identifiable Information (PII) as defined by applicable laws and regulations. PII includes, but is not limited to, information that can be used to identify an individual, such as:

  • Names
  • Social Security Numbers
  • Driver’s License Numbers
  • Passport Numbers
  • Financial Account Numbers
  • Wage information
  • Medical Information
  • Biometric Data
  • Email Addresses
  • Phone Numbers
  • Physical Addresses

2.      Client warrants and represents that the Client Data provided to ERA Group will not contain any Personally Identifiable Information (PII). Client shall be solely responsible for ensuring that the Client Data is anonymized prior to its provision to ERA Group.

3.      In the event that Client provides any PII as part of the Financial Data, Client shall indemnify and hold harmless ERA Group from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to such PII.

GRANT OF DATA USE  

Client grants ERA Group a perpetual, worldwide, royalty-free, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display any and all Anonymized and Aggregated Data for any purpose whatsoever including, but not limited to, providing analytics services. ERA Group may use the Resultant Data, including any insights or trends derived from the Anonymized and Aggregated Data, for any purpose whatsoever.  

These terms and conditions of Use of the SpendVue Cost Intelligence Client Portal shall supersede any other agreement between Client and the ERA Group and any ERA Network licensee. In the event of any conflict between this agreement and any other such agreement, the terms of this agreement shall prevail.
